We have had several new volunteers, and so I am posting an updated list for your consideration. Linda Waugaman has agreed to be the secretary for next year and Denise Murphy will continue as a board member at large. Keep those cards and letters coming! Please express interest in the position of your choice, especially those of you who parent a freshman or sophomore soccer player. Let me know by email (mbond@chevron.com). If you have any questions concerning what is involved in a particular position, please contact the current jobholder. Next year, you will have several of us "Gray Hairs" to ask for our sage advice -- but after that, we will be spending too much money on college to remember what happened in high school!

of the
SOUTH BOYS SOCCER BOOSTER FOUNDATION
An Alaska Nonprofit Foundation
ARTICLE I - MEMBERS
A. Eligibility. Any person who subscribes to the purposes and basic policies of the Founda-
tion may become a Member of the Foundation. Upon payment of annual dues a person
is considered a Member in good standing for the Membership year. A Membership year
shall run from January 1 to December 31. Any Member in good standing may attend
meetings of the Foundation's Board of Directors, various committees, and Members,
other than meetings in executive session.
B. Annual Dues. The Board of Directors shall set Membership Dues from time to time as it
deems appropriate in its discretion, including Contribution Level Memberships to reflect
the various donations the Foundation receives.
C. Advisory Function. The Foundation's body of Members may provide advice and counsel
to the Foundation's Board of Directors. For purposes of obtaining advice and counsel,
the Board of Directors may (but shall not be required to) submit matters to a vote of
Members. Any vote of Members shall be an advisory vote only and shall not be binding
on the Board of Directors.
D. Annual Meeting. An annual meeting of Members shall occur in January of each year on
such date and at such location as the President of the Foundation shall designate. Writ-
ten notice of the annual meeting of Members shall be provided to all Members within a
reasonable time so as to encourage the attendance at the meeting of as many Members
as possible. There is no quorum required for the Members to conduct business at t he
annual meeting. At each meeting of Members, each Member shall be entitled to one
vote on any matter brought before the meeting of Members.
E. Continuous Enrollment. The Foundation shall maintain a continuous program to enroll
Members.
F. Honorary Memberships. The Board of Directors may, at any time in its discretion, create
Honorary Memberships for certain individuals or certain organizations. Each Honorary
Member shall be entitled to one vote on any matter brought before the meeting of Mem-
bers.
ARTICLE II - BOARD OF DIRECTORS
A. Authority and Responsibility. The affairs of the Foundation shall be managed by a Board
of Directors. The Board of Directors shall have sole voting power over the affairs of the
Foundation, including (without limit) the election of individuals to the Board of Directors.
B. Number, Tenure and Qualifications. The number of Directors shall be determined by the
Board of Directors. Until modified by the affirmative vote of at least two-thirds of all
members of the Board of Directors then in office, the number of Directors of the Founda-
tion shall be not less than three nor more than seven. The number of Directors may be
