Please note: These are Our Standard Terms and Conditions, which are subject to change without notice and shall apply unless a separate tailored agreement is between us in advance. In this event we suggest checking back periodically (or at least prior to a new engagement).

 

DEFINITIONS: The Parties referred to are Sound-motive “We/Us/The Consultant/Our/Company/Vendor) and The Client means “You/Your Company/Representative or Organization”.

  

PROJECT START and STOP DATES: Shall be set from the intended Start of or signing of any Contract and to the intended delivery date.                            

 

STANDARD DURATION: Operating between the Start and Stop dates.

 

NON-STANDARD DURATION: Operating outside the Start and Stop Dates and subject to additional charges unless ageed by us separately in writing.

 

DATED SCHEDULE: Should be drawn up in the case of contracts for provision of a fixed service for a fixed fee by a fixed date.

 

CALL SHEETS: Detailing times, maps, locations, equipment. Logistical information and Contact details must be provided in writing not less than 24 hours prior to commencement of any project carried out away from our premises. We shall not be held liable for late or non-delivery as a result of us not receiving  this information in good time.

 

CONTENT: You are responsible for providing all necessary content including but not limited to logos, images, files, copy and data (not originated by us or already in our possession) in advance of the start of the schedule or relevant part thereof. You agree we shall incur no liability for late delivery to you or any third party as a result of  late or non-delivery of such content and notification thereof in writing.

 

CLEARANCES: Unless alternatively agreed by us in writing you are responsible for providing all necessary release forms or clearances in writing including but not limited to all logos, locations, music, sound, images, footage, copy and data in advance of the start of the schedule or relevant part thereof and agree to indemnify us against any claims arising against you or us by any Third Party. We shall incur no liability of any kind to you or any Third Party as a result of your negligence to provide such clearances notified in writing.

 

STANDARD WORKING HOURS: Monday to Friday 0930 – 1730 hours.

 

BRIEF: For the avoidance of misunderstanding when ordering from us You shall supply us with a written Brief  detailing your Order which shall be agreed between the Parties for the provision of services and shall be used in relation to fulfilling orders and settling any disputes. This Brief can be varied in writing in advance (see below.)

 

CHANGE CONTROL: Unless otherwise agreed in writing in advance changes to The Brief may be subject to additional hourly, daily or fixed charges at the appropriate rate, as well as any costs incurred by us to any third party as a result of acting on your further instruction.

 

MEDIA: We shall be responsible for ensuring the provision of suitable media for originating and mastering our work but no further copies shall be provided unless otherwise ordered or agreed in writing and paid for as such.

 

EQUIPMENT: We shall be responsible for ensuring the provision of a suitable workplace and equipment to carry out the work unless otherwise agreed in writing.

 

EMPLOYMENT STATUS: Sound-motive will be contracted directly to The Client as a V.A.T. registered supplier.

 

TAXATION: For the avoidance of doubt Sound-motive will be wholly responsible for paying own I.R. Tax and N.I. contributions. Unless otherwise indicated all prices discussed or quoted are subject to Value Added Tax at the current rate.

 

PRIMARY DUTIES: Unless otherwise agreed in writing Sound-motive will render services as the Sole and Primary supplier to The Client.

 

SECONDARY DUTIES: Within reason the consultant will provide telephone or email support as above subject to the provisions under equipment above within the hours specified.

 

CONSULTANCY SERVICE: We shall provide reasonable support in relation to fulfilling your order. However after the initial meeting , quotation and or proposal have been delivered by us in relation to each project any further use of our time before or after an order has been processed may incur an additional consultancy fee. We recommend if you are in any doubt that you enquire if this will be the case before asking us to carry out any work or entering into lengthy dialogue.

 

INSURANCE: We warrant that we are insured for Public Liability. All other Insurance (including but not limited to Equipment, Professional and Public liability) should be provided by The Client. You warrant that you have adequate insurance in place for the project or that you will notifiy us in writing of your wish to order additional insurance.

 

OVERTIME: Non-Standard Hours shall be charged at the rate of time and a half per hour. (Where we are working for a fixed fee for delivering a service to you overtime does not apply).

 

DAILY FEES: For the avoidance of doubt where less than 10 hours is worked that shall count as one day.

 

PAYMENT: Standard Payment terms are 50% deposit on Engagement, Signing Contract or Commencement with the Balance due on delivery.

 

TITLE: All goods remain our property until such a time as they have been paid for in full. Copyright shall only be assigned from us to you on receipt of payment in full.

 

INVOICING: V.A.T Invoices shall be submitted by Sound-motive to the client. Our V.A.T. Registration Number is: 791786277.

  

LATE PAYMENT: As allowed by statute, Late Payment of Commercial Debts (Interest) Act 1998 assumes overdue charges can accrue after 30 days.

 

CANCELLATION: Cancellation of a confirmed booking within 24 hours of the start time will result in a fee equivalent of 100% of the standard rate for each day cancelled. Cancellation of a confirmed booking within 48 hours of the start time will result in a fee equivalent of 75% of the standard rate for each day cancelled. Cancellation of a confirmed booking within 72 hours of the start time will result in a fee equivalent of 50% of the standard rate for each day cancelled. Cancellation of a confirmed booking within 96 hours of the start time will result in a fee equivalent of 25% of the standard rate for each day cancelled.


MARKETING: You warrant that you will permit us to reproduce and exhibit the work or works we produce or are involved in - whether finished or in progress, in whole or in part -  including any trademarks or logos in the context of our own marketing material for the sole purpose of promoting our business.


ORDERS: By placing an order with, engaging or commissioning us you agree to be bound by these terms unless agreed otherwise by us in writing. All statutory rights apply as per the statute of the United Kingdom and European Union where applicable. Changes to the above must be notified to the parties in writing in advance at their usual place of business, where this is not feasible the same must be provided by electronic mail.


VARIATION: Variations to these terms may be mutually agreed in advance and must be received in writing, either electronically or by post at the addresses provided on this site.


TAX & LEGAL STATUS: “Sound-Motive” is a trading name used by the proprietor Andrew Hall, a sole trader who is registered for VAT with HMRC since 2002.
